Corporate Management Structure

A corporate management structure is the base for the chain of command between a company and their employees. The structure can also determine how well an organization is able implement its strategy and achieve its goals in business. It also assists in helping the company adhere to labor and other regulatory laws. Whatever management structure is used by the company, it must constantly evaluate and improve its chain of command to meet the legal requirements of the country where they operate.

Typically, the CEO is the one with the sole responsibility for corporate activities and signs off on contracts and other legally binding actions. The CEO must inform the board of directors on operations, risks and strategic planning.

The board of directors have the responsibility of establishing the policy and goals of a company, which must be in line with the interests of shareholders. The board should ensure that the company has enough financial resources to reach its objectives and make wise investments. The board must also make sure that the company is meeting all stakeholder needs, including those of local communities and customers.

Corporate boards can be composed of inside directors, who are either shareholders or managers at the top of the company. Inside directors offer an invaluable perspective on the company’s operations and projects from an internal perspective. Outside directors can provide valuable perspectives that can complement the inside directors’ expertise and experience.

Larger companies may enact two-tier boards, which include an executive board that oversees daily activities and a supervisory board that is accountable for approving budgets and overseeing key corporate initiatives and projects. The two tiers allow for the separation of management and executive duties. It can also reduce the likelihood of conflicts of interest by limiting the number of board members that are directly accountable to management of the company.
